Resolutions of the 2007 AGM and Announcement of new CEO
Solothurn/Switzerland, April 26, 2007
The 8th Annual General Meeting of Shareholders was held on April 26, 2007 at 4 pm at the Concert Hall in Solothurn.
71'503'282 of the 118'688'263 issued and outstanding shares were represented at the AGM. The 368 shareholders attending the meeting represented 60.2% of the total capital.
Michel Orsinger becomes CEO
Chairman and Chief Executive Officer (CEO) Hansjörg Wyss informed the shareholders that the Board of Directors decided to promote Michel Orsinger, the current President and Chief Operating Officer (COO) of the company, to the position of the CEO. Michel Orsinger has been COO for the last 2½ years and will assume the position of President and Chief Executive Officer with immediate effect. Hansjörg Wyss will remain Chairman of the Board of Directors of Synthes, Inc.
The following resolutions were passed with few dissenting votes and abstentions.
Agenda item 3
The shareholders approved the report on the financial year, the annual accounts and the consolidated accounts for 2006.
Agenda item 4
Shareholders took note of a dividend of CHF 0.75 per share of common stock. The dividend will be paid out on April 30, 2007.
Agenda item 5
The General Meeting of Shareholders approved an amendment of the Certificate of Incorporation by increasing the maximum number of Directors of the Board from ten to twelve.
Agenda item 6
The shareholders re-elected Charles Hedgepeth, Amin Khoury and Jobst Wagner to the Board of Directors as Class II Directors for a term of three years.
Agenda item 7
The shareholders ratified the selection of Ernst & Young LLP, Philadelphia, PA, as auditors of Synthes, Inc. and as Group Auditors for 2007.
The meeting was closed at 5:30 pm.
